CASE NO: 22-80418-CV-MIDDLEBROOKS

United States District Court

Southern District of Florida

This website has been established to provide general information regarding the proposed settlement (“Settlement”) of the class action (the "Action") known as City of Atlanta Police Officers’ Pension Plan, et al., v. Celsius Holdings, Inc. et al., Case No. 22-80418-CV-MIDDLEBROOKS; the Court in charge of the Action is the United States District Court for the Southern District of Florida. Capitalized terms used on this website and not otherwise defined shall have the same meanings ascribed to them in the Stipulation of Settlement, dated August 2, 2023 (“Stipulation”).

Please be advised that your rights may be affected by the proceedings in the Action if you are a member of the Settlement Class, which includes the following:

All persons who, directly or through an intermediary, purchased or otherwise acquired Celsius common stock at any time during the period of August 12, 2021 through March 1, 2022 inclusive

The Action has been brought by Celsius investors alleging, among other things, that Defendants violated the federal securities laws by making false and misleading statements regarding Celsius during the Class Period. The Court has not decided in favor of Defendants or of Lead Plaintiffs. Instead, both sides agreed to the Settlement to avoid the distraction, costs, and risks of further litigation, and Lead Plaintiffs agreed to the Settlement in order to ensure that Settlement Class Members will receive compensation.

Although the information on this website is intended to assist you, it does not replace the information contained in the Notice and the Stipulation. Please read the Notice carefully to fully understand your rights.

If you have questions about the Notice, the Settlement, or your eligibility to participate in the Settlement, please DO NOT contact the Court or Defendants, or Defendants’ Counsel. All questions should be directed to Lead Counsel or the Claims Administrator
